DVOD Order Manager End-User Licence Agreement

Effective date: August 12, 2026

This End-User Licence Agreement (“Agreement”) governs the use of DVOD Order Manager (“the Application”), an internal business application operated by DVOD Hardware Inc. (“DVOD,” “we,” “us,” or “our”).

1. Purpose of the Application

DVOD Order Manager is intended to assist DVOD Hardware Inc. with its internal order-processing and accounting workflow. The Application may:

Process retailer purchase-order information;
Prepare Purolator shipment information and shipping documents;
Record shipment and tracking information;
Connect to DVOD’s authorized QuickBooks Online company;
Read relevant customers, products and services, tax codes, and invoices;
Create QuickBooks Online invoices after review and approval by an authorized user; and
Produce internal shipment and invoicing records.

The Application is not offered for sale or general public use.

2. Authorized Users

The Application may be used only by DVOD Hardware Inc. and people expressly authorized by DVOD Hardware Inc.

Users must protect all passwords, API credentials, access tokens, shipping-account information, and other credentials used by the Application.

Users must not provide unauthorized persons with access to the Application or its connected services.

3. QuickBooks Online Connection

The Application connects to QuickBooks Online using Intuit’s official authorization process and QuickBooks Online APIs.

The user must expressly authorize the connection to the applicable QuickBooks Online company. The Application does not request or store the user’s Intuit password.

Authorization may be withdrawn by disconnecting the Application from QuickBooks Online or revoking its access through the user’s Intuit account.

QuickBooks and Intuit are trademarks and services of Intuit Inc. DVOD Order Manager is an independent application operated by DVOD Hardware Inc. It is not endorsed or sponsored by Intuit Inc.

4. User Review and Accounting Responsibility

The Application is intended to reduce repetitive data entry. It does not replace the user’s responsibility to review transactions for accuracy.

Before approving an invoice, the user should confirm information including:

Retailer;
Purchase-order number;
Customer or recipient;
Product or service;
Quantity;
Unit price;
Applicable tax;
Shipment or waybill number; and
Invoice total.

DVOD Hardware Inc. remains responsible for its accounting records, tax treatment, shipping instructions, and retailer submissions.

5. Acceptable Use

The Application must not be used:

For unlawful, fraudulent, or unauthorized purposes;
To access a QuickBooks Online company without permission;
To submit knowingly inaccurate shipping or accounting information;
To interfere with Intuit, QuickBooks Online, Purolator, Rithum, or another connected service; or
To disclose credentials or confidential business information to unauthorized parties.

6. Third-Party Services

The Application depends on third-party services, which may include QuickBooks Online, Intuit’s APIs, Purolator E-Ship Web Services, Rithum OrderStream, and retailer systems.

Use of those services remains subject to their respective agreements, availability, rules, and technical limitations. DVOD Hardware Inc. does not control those third-party services.

7. Availability and Changes

The Application may be modified, suspended, or discontinued as DVOD Hardware Inc.’s workflow and third-party systems change.

There is no guarantee that the Application will operate without interruption or that a third-party integration will always remain available.

8. Disclaimer

The Application is provided for internal business use on an “as available” basis. To the extent permitted by law, DVOD Hardware Inc. disclaims warranties that are not expressly stated in this Agreement.

The Application does not provide legal, tax, or accounting advice.

9. Limitation of Liability

To the extent permitted by applicable law, DVOD Hardware Inc. will not be liable for indirect, incidental, special, or consequential losses arising from use of the Application, third-party service interruptions, inaccurate source information, or an authorized user’s approval of an incorrect transaction.

Nothing in this Agreement excludes liability that cannot legally be excluded.

10. Termination and Disconnection

DVOD Hardware Inc. may terminate a user’s authorization to use the Application at any time.

When the QuickBooks Online connection is disconnected, the Application will cease accessing QuickBooks Online through that authorization. Locally retained records will be handled according to the DVOD Order Manager Privacy Policy and applicable legal or accounting retention obligations.

11. Governing Law

This Agreement is governed by the laws of Ontario and the applicable federal laws of Canada.
